Welcome to KarmaGoat! KarmaGoat is a place to shop for items that benefit worthy causes. We hope you enjoy the site and do some good along the way.
We refer to the following Terms of Use as "Terms". We've tried to write these Terms in plain English so you can actually read them without wanting to bang your head against the wall. Hopefully we succeeded, because by using the site you are agreeing to these Terms.
Privacy on KarmaGoat
Please refer to our Privacy Policy to better understand how we collect and use your personal information.
Payments to Charities on KarmaGoat
After KarmaGoat processes payment for an item, we send 80% of the purchase price to the beneficiary nonprofit. For logistical reasons, we aggregate these payments and make them on a monthly basis. We distribute funds to charities on or around the 31st of each month for all transactions occurring in the previous month. For example, all proceeds generated by sales in August would be distributed to the beneficiary causes on or around September 30th.
Content
KarmaGoat does not represent or guarantee the truthfulness or accuracy of any content created by its users or third party sources. KarmaGoat does not tolerate any content that might be offensive, harmful, inaccurate or otherwise inappropriate. Such use is subject to removal without prior notification and immediate termination of user accounts.
KarmaGoat reserves the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of KarmaGoat, its users and the public.

Feedback
Please give us feedback, it's critical to helping us make KarmaGoat an awesome experience. However note that when you do, such information is provided by the submitter on a non-confidential basis, and you acknowledge and agree that all such feedback information, once submitted, shall become the sole property of KarmaGoat, and KarmaGoat shall be free to use such information on an unrestricted basis, at no charge.
Intellectual Property
No intellectual property ownership rights are or will be assigned to you as part of your use of KarmaGoat and you agree not to infringe or challenge any of the intellectual property rights associated with KarmaGoat. KarmaGoat reserves the right to block, disable, or otherwise remove any content as well as terminate access to KarmaGoat in the case of intellectual property infringement.

KarmaGoat and KarmaGoat users may provide links to third-party websites on KarmaGoat. Third parties are not under the control of KarmaGoat and KarmaGoat is not responsible for their content or conduct. If you access a third party website from KarmaGoat, you do so at your own risk. KarmaGoat provides links as a convenience and the inclusion of the link does not indicate or imply that KarmaGoat represents, warrants, or accepts any responsibility for the content on third-party websites. Additionally, your dealings with or participation in offers or solicitations from third parties found on KarmaGoat are solely between you and such third parties. You agree that KarmaGoat shall not be responsible for any loss or damage of any sort relating to your dealings with such third parties.

THE SITE, THE SITE INFORMATION AND THE SERVICES ARE PROVIDED "AS IS," AND TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW, KARMAGOAT, ITS AFFILIATES AND SUBSIDIARIES, IF ANY, AND ITS THIRD PARTY SERVICE PROVIDERS HEREBY EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF ACCURACY, COMPLETENESS OR RELIABILITY, TITLE, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY OTHER WARRANTY, CONDITION, GUARANTEE OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM. KARMAGOAT, ITS AFFILIATES AND SUBSIDIARIES, IF ANY, AND ITS THIRD PARTY SERVICE PROVIDERS DO NOT REPRESENT OR WARRANT THAT ACCESS TO THE SITE, THE SITE INFORMATION OR THE SERVICES WILL BE UNINTERRUPTED OR THAT THERE WILL BE NO FAILURES, ERRORS OR OMISSIONS, OR LOSS OR SECURITY BREACH OF TRANSMITTED INFORMATION, OR THAT NO VIRUSES WILL BE TRANSMITTED THROUGH ACCESS TO OR USE OF SITE.
KARMAGOAT, ITS AFFILIATES AND ITS SUBSIDIARIES, IF ANY, AND ITS THIRD PARTY SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THIS AGREEMENT, THE PROVISION OF SERVICES HEREUNDER, THE SALE OR PURCHASE OF ANY PRODUCTS, MERCHANDISE AND/OR SERVICES ORDERED THROUGH SITE, YOUR ACCESS TO OR INABILITY TO ACCESS THE SITE OR ITS SERVICES OR THE SITE INFORMATION, INCLUDING FOR VIRUSES ALLEGED TO HAVE BEEN OBTAINED FROM THE SERVICES, YOUR USE OF OR RELIANCE ON THE SERVICES, THE SITE INFORMATION OR MATERIALS AVAILABLE THROUGH THIRD PARTY SITES LINKED TO SITE, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU HEREBY AGREE TO RELEASE KARMAGOAT, ITS AFFILIATES AND SUBSIDIARIES, IF ANY, AND THIRD-PARTY SERVICE PROVIDERS, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THIS SITE AND ITS SERVICES OR THE SITE INFORMATION.
Assumption of Risks and Indemnification
Your interactions with other KarmaGoat users or other third parties are solely between you and such individuals or entities. You should make whatever investigation you feel necessary or appropriate before interacting with any of third parties. You agree that KarmaGoat shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between KarmaGoat users, or between a user and any third party, you understand and agree that KarmaGoat is under no obligation to become involved and is not subject to any liability. You agree to defend, indemnify and hold harmless KarmaGoat, its directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of your use of KarmaGoat.
International Use
KarmaGoat is controlled and operated from within the United States. KarmaGoat makes no representation that it is appropriate or available in locations outside the United States. Those who choose to access KarmaGoat from other locations do so at their own risk and are responsible for compliance with applicable laws.
Access and Interference
You will not take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure; copy, reproduce, modify, create derivative works from, distribute, or publicly display any content (except for your information) from the sites without the prior express written permission of KarmaGoat and the appropriate third party, as applicable; or interfere or attempt to interfere with the proper working of KarmaGoat.
No Agency
No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by this Agreement.
Resolution of Disputes
If a dispute arises between you and KarmaGoat, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and KarmaGoat agree that we will resolve any claim or controversy at law or equity that arises out of these Terms or our services (a "Claim") in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.
Law and Forum for Disputes - This Agreement shall be governed in all respects by the laws of the State of California as they apply to agreements entered into and to be performed entirely within California between California residents, without regard to conflict of law provisions. You agree that any claim or dispute you may have against KarmaGoat must be resolved exclusively by a state or federal court located in Los Angeles County, California, except as otherwise agreed by the parties or as described in the Arbitration Option paragraph below. You agree to submit to the personal jurisdiction of the courts located within Los Angeles County, California for the purpose of litigating all such claims or disputes.
Arbitration Option - For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost effective manner through binding non-appearance-based arbitration. In the event a party elects arbitration, they shall initiate such arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: (a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration; (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and (c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
Miscellaneous Other Provisions
In the event that one or more portions of these Terms shall, for any reason, be held to be unenforceable, the remaining portion will remain in full force and effect.
The headings used throughout these Terms are solely for convenience of reference and are not to be used as an aid in the interpretation of these Terms.
If KarmaGoat fails to enforce any parts of these Terms, it will not be considered a waiver.
These Terms make up the entire agreement between you and KarmaGoat regarding your use of KarmaGoat and supersede any prior agreements.
These Terms do not confer any third party beneficiary rights.
You will not transfer any of your rights or responsibilities under these Terms to anyone without KarmaGoat's express written permission.
KarmaGoat may, at any time, assign our rights or delegate our obligations hereunder without notice to you in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
Nothing in these Terms shall prevent KarmaGoat from complying with the law.
Disclaimer Concerning Tax Deductible Nature Of Donations
KarmaGoat makes no representation that any portion of your payments are tax deductible.
